Penn Grove Retreat Rental Agreement THIS AGREEMENT is made this ______day of _____________, 20___. The agreement is between PENN GROVE RETREAT, a Pennsylvania not-for-profit corporation, located at 6419 Pamadeva Rd., Hanover, PA 17331, hereinafter referred to as Lessor, and __________________________________, hereinafter referred to as Lessee. PREAMBLE Lessor owns real property in Heidelberg Township, York County, Pennsylvania, together with improvements and facilities erected or constructed thereon, hereinafter referred to as the Property. Lessor leases the Property to groups and organizations for the purposes of a religious camp/retreat. Lessee has requested that Lessor lease the Property to Lessee for purposes consistent with the charter of Lessor. Lessee has filed an application with Lessor detailing the information of the group, i.e., name of the organization sponsoring the group, purpose of the group, age of the campers, number of campers, number of staff persons, and any special needs that the group may have. Lessor has provided Lessee with information regarding camper to staff ratio and Lessor's guidelines and regulations. Lessor reserves the right to request additional staff persons as a ratio to campers based upon the age of the group and whether the campers are disabled. If a camper has any disability or medical infirmity (whether physical or intellectual), Lessee shall take such steps to supervise or assist the camper in the camper's activities at the Property. THEREFORE, the parties hereto do enter into the following agreement. TERMS 1. Lessor shall lease to Lessee the Property for a ____________ period of time, commencing _____________________ at _______ o'clock ___m., and ending _____________________ at _______ o'clock ___m. If the number of individuals associated with Lessee's group is forty (40) persons or fewer, Lessee may be sharing the facilities at the Property with another group. Lessor will use Lessor's best efforts in scheduling buildings on the Property such that the activities of the groups will not be in conflict. 2. Lessee shall pay to Lessor the sum of $_____________ calculated using the rates per camper and per staff person shown on the attached Exhibit A, based upon the number of individuals shown on Lessee's application to Lessor for each category. If the number of individuals in Lessee's group exceeds the number shown on the application, Lessee shall pay Lessor the additional fee based upon the amounts shown on Exhibit A. 3. On or before ___________________ Lessee shall pay to Lessor a deposit of $____________ which shall be non-refundable. On or before _________________________ Lessee shall pay the balance of the sum calculated on the application as set forth in Paragraph 2. On the commencement date Lessee shall pay Lessor for any additional campers or staff. 4. If Lessee, by written notice to Lessor at the address set forth in Paragraph 11, cancels the lease at least sixty (60) days prior to the commencement of the lease, Lessee shall forfeit the deposit, but Lessee shall not be obligated to pay to Lessor the balance of the contract price. If Lessee, by written notice to Lessor, cancels the lease within sixty (60) days of the commencement, Lessee shall pay to Lessor eighty percent (80%) of the remaining balance, with this payment being due at the time of cancellation. 5. Lessee shall use the Property for the purposes set forth in Lessee's application to Lessor. If Lessee uses the Property for other purposes, Lessor reserves the right to take appropriate action to compel Lessee to cease using the Property for such other purposes and to expel Lessee from the Property. 6. Lessee shall examine the Property with Lessor prior to the commencement of the lease. The parties shall note the condition of the Property at that time, regarding any damage to the facilities and to the operating condition of the facilities prior to Lessee's occupancy. Lessee shall immediately notify Lessor of any condition which may occur to the Property which would affect Lessee's continued occupancy and use of the Property. 7. Lessee shall place all garbage or refuse at such place designated by Lessor in such containers required by the municipal or private hauler. Lessee shall not do or keep anything at the Property which will affect the insurance against fire or other hazards or the rate thereof, on any buildings or structures at the Property. 8. Lessee, prior to the commencement of the lease, shall pay to Lessor the sum of $____________ as a security deposit. This deposit shall be returned to Lessee by Lessor if Lessee has complied with the terms of the lease. However, if the Property has been damaged during Lessee's occupancy, or if Lessor must pay to clean up the Property, Lessor may use the security deposit to repair the damage or pay for clean-up. If the security deposit is insufficient to cover the costs of the damage or clean-up, Lessee shall pay to Lessor the remaining costs of repair or clean-up within ten (10) days of Lessor's written notice to Lessee of such deficiency. 9. Lessee shall provide Lessor with proof of insurance. Lessor shall be named as an additional insured for liability purposes. Coverages for liability shall be $____________ for personal injury to one person and $_________________ for personal injury to more than one person and $________________ for property damage. Lessee shall indemnify and hold harmless Lessor for any damages suffered to persons or property, and such indemnification shall also cover court costs and reasonable attorney's fees. 10. Lessee shall not assign this lease or sublease the Property, without the prior written consent of Lessor. 11. This lease shall inure to the benefit of and be binding upon the heirs, personal representatives, successors and assigns of the parties hereto. 13. This lease contains the entire agreement between the parties, and it may not be amended except in writing signed by the parties. 14. This lease shall be construed in accordance with the laws of the Commonwealth of Pennsylvania.
